TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, ESKORYN LOGISTICS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Our Services are provided on an "as is" and "as available" basis. Eskoryn Logistics Ltd makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of any information provided by our platform. While we strive to provide accurate supply chain forecasting and optimization, we do not guarantee that our Services will meet your specific requirements or that results will be error-free. Business decisions made based on our Services are your sole responsibility.
All fees are exclusive of applicable Harmonized Sales Tax (HST) and other taxes. You authorize us to charge your designated payment method for all fees incurred. Failure to pay invoices within thirty (30) days may result in service suspension. Refund requests must be made in writing within thirty (30) days of payment. We reserve the right to modify pricing with thirty (30) days' written notice.
Either party may terminate this agreement at any time with thirty (30) days' written notice. Eskoryn Logistics Ltd may immediately suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Services ceases immediately, and we may delete your data in accordance with our data retention policies.
Our platform may contain links to third-party websites and services. Eskoryn Logistics Ltd is not responsible for the content, accuracy, or practices of external sites. Your use of third-party services is governed by their terms and privacy policies, not these Terms. We do not endorse or assume liability for third-party content.
You agree to indemnify, defend, and hold harmless Eskoryn Logistics Ltd and its officers, directors, employees, and agents from any claims, damages, or losses arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the Province of Québec, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Montréal, Québec, for any legal proceedings arising from these Terms or your use of our Services.
Before pursuing litigation, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by Arbitration Canada, in accordance with its rules. Arbitration shall take place in Montréal, Québec, and shall be conducted in English.
Eskoryn Logistics Ltd reserves the right to modify these Terms at any time. Changes become effective upon posting to our website or notification via email. Your continued use of our Services constitutes acceptance of modified Terms. We encourage you to review these Terms periodically for updates.
These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and Eskoryn Logistics Ltd regarding your use of our Services and supersede all prior agreements, understandings, and negotiations.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
